General Summary of the Bylaws of the
Global Association of Risk Professionals, Inc.

1. Article I

Provides that the Association shall remain a not-for-profit entity unless voted upon by the Membership.

2. Article II - Purposes

Describes the general purposes of the association.

3. Article III - Membership

Provides for 4 membership categories, Fellow (FRM exam certified), Individual (dues paying), Affiliate (non-dues paying), and Student (nominal dues paying). Only Fellow and Individual members may vote on Association matters. Allows the Board of Trustees to suspend or remove a member from the Association.

4. Article IV - Dues

Provides for dues as determined by the Board of Trustees.

5. Article V - Membership Meetings

Provides for annual and special meetings of the membership, and aspects relating to the calling and running of the meetings.

6. Article VI - Board of Trustees

Specifies three classes of Board of Trustee members and the number. Requires Board members to be either a Fellow or Individual member. Class A and B Trustees are elected by the membership for 2-year staggered terms. Class C is elected by the Board for a 1 year term. The Article also provides for a nomination process, petition for election and the filling of vacancies.

7. Article VII - Committees

Board may appoint committees of it's own members.

8. Article VIII - Officers

Chair and Vice-Chair of the Board, Treasurer and Secretary.
Terms of office are 1 year.
President's role is defined.
